Biography
Bima Sarumpaet is a partner in the Transactional Practice Group. His focus areas are structured real estate investments, REITs, leases, joint ventures and acquisitions, covering industrial, commercial and residential property. He is involved in handling various legal corporate and commercial issues on real estate deals, mergers and acquisitions of real estate companies, hotels and resorts transactions, and operational roll out including construction contracts, marketing, licensing and zoning.
Representative Legal Matters
- Representing one of international serviced residence operator on the acquisition of 70% stake in one of Indonesia’s top hotel operators.
- Representing an Indonesian warehouse real estate developer company, as the purchaser, on sale and purchase of land and lease of warehouse.
- Representing an Indonesian shopping center and hotel (mix-used) real estate developer, as the seller, on the issuance of new shares constituting a minority stake in its issued share capital to new investors.
- Assisting one of the biggest multinational construction and facility companies in reviewing and finalizing hotel management agreements for a number of new international hotel developments in Lombok.
- Advising real estate investor, through its REIT Manager, in a conditional agreement with one of Indonesia real estate developer, for the acquisition of the strata-titled hotel in Jakarta and 100% shares in its subsidiary, which is the operator of the hotel.
- Representing an international retail company in a conditional land sale and purchase agreement with Indonesian company, for the acquisition of land located for retail store in Indonesia.
- Representing an international trust services, in their capacity as a trustee of an Indonesian real estate investment trust in relation to the acquisition of a retail mall which is located in Kuta, Bali.
- Representing a listed Indonesian conglomerate company that engaged in the property sector in relation to a joint venture, through its subsidiary, with a Hong Kong-based company for the development of commercial and residential areas in Jakarta.
- Representing a local real estate company in connection with the establishment of an Indonesian joint venture company with another local real estate company and its intention to acquire through the joint venture company a number of plots of Hak Guna Bangunan (Building Rights on Land) land located in Pondok Indah area, South Jakarta to be developed as an apartment complex by the joint venture company.
