Finance & Projects

We have extensive experience assisting financial institutions, borrowers, developers and sponsors with a wide range of financing and project financing issues, including:

• Banking and finance. We advise financial institutions and major companies on commercial loans, syndicated loans, letters of credit, construction loans, project finance, asset-based instruments, and leasing and security arrangements. We also advise on corporate finance instruments, including convertible bonds, exchangeable bonds, floating rate notes and medium term notes.
• Bank regulatory compliance. We counsel clients on emerging legal issues in Indonesia’s rapidly changing financial markets.
• Debt restructuring and insolvency. We advise companies and creditors’ committees in major creditor-driven restructuring and voluntary restructuring initiatives. We help develop strategies for comprehensive restructuring plans and have extensive experience acting as liquidators.
• Shariah financing. Our involvement in Indonesia’s first US dollar Islamic bond issued in 2009 and the latest issuance of the Republic of Indonesia's USD 1 billion and the USD 2 billion sovereign sukuk under the USD 15 billion Global Medium Term Sukuk Certificates Program, in 2017, is testament to our capability in shariah finance.
• Energy, mining and infrastructure. We advise investors, developers, lenders, service contractors and offtakers in landmark transactions in the energy, mining and infrastructure sectors as well as power generation projects, both fossil-fuel based and renewable energy projects. We have worked on several of Indonesia’s private sector concessions for toll road and water project developments as well as oil and gas projects. We are also representing the sponsors and the project company in the mega project, first high-speed rail project in Indonesia, connecting Jakarta-Bandung.
• Climate change. As market leaders in climate change projects in Indonesia, we represent developers and carbon buyers in Clean Development Mechanism and Voluntary Carbon Market projects, covering renewable energy, agricultural waste, methane capture and combustion, and avoided deforestation (REDD/REDD+) projects. Our clients include project developers, carbon funds, multilaterals and foreign governments.

A top capital market practice in the country, we provide companies, underwriters, financial institutions and investment banks with a wide range of services relating to both public and private debt and equity offerings, including capital market regulations. We assist in mergers, acquisitions and restructurings as well as the establishment of securities companies and venture capital companies.

We have been involved in several domestic and international public offerings by top Indonesian companies, including major state-owned enterprises. We have established relationships with regulatory agencies in the Indonesian capital market, providing advice during law-making processes and participating in the stock exchange committee.

Corporate, Compliance & Services (CCS)

• Business Establishment. Our services include planning and forming new corporate structures (such as limited liability companies and representative offices), reorganizing existing structures and group simplification projects.
• Corporate Maintenance. We coordinate and manage corporate housekeeping, such as calendaring annual corporate compliance requirements, preparing annual meeting minutes and filings, and handling director and officer replacements.

Commercial Litigation/Arbitration

We present clients in a wide range of civil and commercial disputes before the Indonesian courts, including contractual disputes, shareholders disputes and general commercial litigation. We also represent clients in bankruptcy and insolvency proceedings. We assist clients in formulating dispute strategies, assembling and analyzing facts and evidence, and taking matters to trial. We also represent clients in local and international arbitration of commercial disputes.

We present a wide range of employers of employment work, end to end, from "hire to fire." We field specialist practitioners with experience in both employment litigation, including termination strategy, bipartite negotiation, mediation and court representation as well as non-contentious employment advisory matters. Our team consists of locally qualified experts who are able to appear in Indonesian courts in relation to employment disputes.

We represent local and international clients navigate Indonesia’s challenging IP enforcement environment by providing full IP service covering both non-contentious and contentious matters. We assist clients to manage their IP portfolios to obtain proper protection up to enforcing their IP rights against various types of third party violations. We also assist in the exploitation of rights through licensing, franchising and commercial-related IP transactions.

We have been heavily involved in infrastructure projects in every industry, in projects involving both local and international participants, from the private and public sector, including acquisition financing for ports, electricity, mining, highway, to water resources. In relation to non-public funding sources, we are in the forefront of the development of the PPP sector (public-private partnership) and have provided advice in infrastructure projects funded by the private sector around the world.

We have represented clients over the years in relation to infrastructure, transport and other public financing projects, and we maintain very good relationships with key institutions and regulatory authorities in Indonesia. Trade

Our trade team advises on structuring agreements for the manufacture, supply, sale and movement of goods and services, both domestically and internationally. We advise on anti-competitive trade practices.

We help clients keep up with complex, rapidly changing and often conflicting import, export, customs and trade regulations. Our lawyers work closely with specialist industry teams so we can knowledgeably advise clients on a wide variety of laws and regulations affecting cross-border and multijurisdictional trade transactions and activities.

Our team also represents clients in adversarial matters relating to trade, in particular trade remedy matters (such as anti-dumping), consumer protection matters (such as advising on product recalls, litigating consumer claims before court), civil contractual matters (such as litigating termination of distributors and agents before court and arbitration). We also have experience in litigating customs appeals to the tax court.
